STONEWALL 25, INC. Bylaws of the Corporation adopted September 24, 1992 Article I -- Name and Purpose Section 1. Stonewall 25, Inc. (hereinafter referred to as the Corporation or Stonewall 25), a not-for-profit New York corporation, is a human rights organization of the Lesbian and Gay community. Section 2. The Corporation is established exclusively for one or more of the purposes as specified in section 501(c) of the Internal Revenue Code of 1954. These purposes are set forth in the Certificate of Incorporation. Article II -- Membership The Corporation shall have no members. Article III -- Directors/Officers Section 1. Stonewall 25 shall have three directors who also serve as the officers of the Corporation. The number may be increased at the annual meeting of the Corporation as described in Article IV, Section 1 below. Section 2. The initial directors shall be the persons named in the Certificate of Incorporation. Each shall continue in office for one year or until a successor shall have been elected, his or her resignation, death or removal. Section 3. The directors shall have no authority except as stated in these Bylaws. Article IV -- Meetings and Conduct of Business Section 1. The general business of the Corporation shall transpire at monthly meetings to be held at a time and place selected at previous meetings. The October monthly meeting shall be designated the annual meeting of the Corporation. Section 2. Such additional meetings as shall be necessary for the conduct of the Corporation's business shall take place at such times and places chosen at previous meetings. These meetings may include teleconferences or meetings conducted through other electronic systems of communication. Section 3. From time to time, Stonewall 25 may hold larger international or United States national meetings to decide specific agenda items which shall be announced in advance. Section 4. All meetings are open to the general public and shall be wheelchair-accessible. Section 5. Wherever possible decisions will be achieved by a consensus of those present at the monthly meeting. The meeting facilitator may ask for consensus and if no objection is heard, the decision is accomplished and binding. If consensus is not forthcoming, a two-thirds majority of those present who have attended at least two previous meetings will be binding. Section 6. It is the goal of the Corporation to include 50% or more women, 50% or more self-identified people of color and appropriate representation of physically disabled and bisexual individuals in all decision-making processes. Article V -- Finances Section 1. The Corporation shall maintain a checking account at the Amalgamated Bank of New York for the purposes related to the general business of the Corporation. Section 2. The annual meeting of the Corporation or the directors, with the approval of the next scheduled monthly meeting, shall determine who shall be authorized to sign checks or other orders for the payment of money, to accept loans, to sign contracts or to execute and deliver other documents and instruments. Section 3. The fiscal year of the Corporation shall be from the first day of January through the last day of December. Section 4. The correct books of account shall be kept at the office of the Corporation, or at such other location designated by the Directors, including a copy of the Certificate of Incorporation, a copy of these Bylaws and minutes of all meetings.
