                    Engaged in a general civil practice of law with an

                    Real Estate - residential and commercial, covering  
                    such areas as construction/development,             
                    purchase/sale/lease, and co-ownership agreements; 

                    Personal Planning - wills, trusts, estate planning, 
                    co-habitation agreements for gay and lesbian
                    domestic partners, financial powers of attorney,    
                    durable powers of attorney for health care, and
                    living wills;

                    Business - corporations, partnerships, contracts,   
                    collections; 

                    Taxation - as effects and relates to above areas of

1986 - 1988:        Corporate Counsel, Secretary and Treasurer
                    Ott Electrical Services, Inc., Stow, Ohio

                    Managed the legal affairs of  the corporation;      
           prepared and negotiated material, service and
           other contracts; conducted litigation; oversaw               
           credit/collections; evaluated and advised on labor           
           issues, wage and hour requirements, employee                 
           benefit matters; responsible for the preparation of          
           federal income and state ranchise tax returns.               
           Continue to represent the corporation as outside             
           counsel.

1981 - 1986:        Associate General Counsel and Assistant Secretary
                    Lawrence Industries, Inc., Conroe Texas   

                    Responsible for the legal aspects of domestic and   
            international corporate transactions for this 
            oilfield equipment manufacturer.  Created agreements for    
            real estate acquisitions and developments and
            coordinated construction projects; evaluated acquisitions   
            of patents and technology and planned the
            formation, merger and acquisition of corporate and          
            operational entities; prepared and negotiated contracts
            for the sale, lease, distribution and licensing of the      
            company's products and technology as well as supervised
            credit/collections and addressed bankruptcy issues;  and    
            provided legal interpretations of effects of state,
            federal and foreign law on business operations.
